PART I: CONTRACTING AUTHORITY

Part II: DESCRIPTION
2. Name of the contract, as given by the Contracting Authority.
"Design, Construction, Financing and Facility Management of the Police Directorate Building in Piraeus Through PPP".
3. Brief description of the contract.
The scope of the PPP contract concerns the design, construction, financing and facility management of the Police Directorate Building in Piraeus (Project). This partnership is part of the strategic goals of the Ministry of Interior to solve the accommodation problem of the Hellenic Police and to upgrade its infrastructure. By decision no 8039/1/160-B/20.12.2006 of the Minister for Public Order, the project of design, construction, financing and facility management of the above mentioned building of the Hellenic Police was assigned to "Hellenic Public Real Estate Corporation S.A.", in order to proceed to all the necessary actions for its implementation through PPPs. On 01.03.2007, the Inter-Ministerial PPP Committee approved the implementation through PPP (L. 3389/2005) of Piraeus Police Directorate infrastructure, with a total building surface of 16.700 sq.m., while the underground area amounts to, approximately, 11.000 sq.m. The Hellenic State shall utilize the new infrastructure for the accommodation of Piraeus Police Directorate for the period of the Partnership and shall pay to the SPV that will undertake this project, following the beginning of the operation of the new infrastructure, periodical availability payments.
The private entity that will be selected will undertake: (a) the design and construction of the Project, (b) the financing of the project with equity and debt, (c) the insurance of the infrastructure and equipment, (d) the relocation of the agencies of Piraeus Police Directorate, (e) the facility management [cleaning, operation, maintenance, hard facility management (life cycle cost)] of the building and its surroundings, and (f) the payment of the administration fee of the Contracting Authority and any other expenses that may occur, the amount of which will be defined in the second phase of this procedure.
4. Admission or prohibition of variants.
Variants are prohibited.

5. Total amount or extent.
The total budget of the availability payments of the Project, which will be paid to the Private Entity, indicatively amount to 62,000,000 euros (in present value), plus the hard facility management and insurance of infrastructures costs, which are estimated to 20% of the total budget, plus VAT.

6. Duration of the contract.
Twenty seven (27) years.

PART III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION.
7. Deposit and guarantees required.
The guarantee for the participation in the second phase of the tender, as well as other guarantees shall be defined in the tender documents of the second phase.

8. Main terms concerning financing and payment and / or references to the texts in which these are contained.
The financing of the construction of the project shall be made via equity and debt raised by the Private Entity. The Project shall be implemented according to Law 3389/2005, as in force, and P.D. 60/2007 and the availability payments shall be linked to the output specification, which shall be described in the Tender Documents of the Second Phase - Invitation to Submit Tenders.

9. Legal form to be taken by the grouping of economic operators to whom the contract is to be awarded.
Special Purpose Societe Anonyme (SPSA), according to article 1, paragraph 4 of Law 3389/2005. Founders and initial shareholders of the SPSA shall be exclusively the selected SPV or its members, in case of a consortium or joint venture, according to their participation percentage to the SPV.

10. Additional information.
The tender shall take place and the contract shall be awarded and implemented according to Law 3389/2005, P.D. 60/2007, Law 2522/1997, Law 3310/2005 and Law 2741/1999.

11. Entities entitled to participate.
At the tender may participate physical or legal entities, independently or in union, as long as they or their members come from a Member State of the European Union or the European Economic Area (EEC) or from states that have signed bilateral agreements or association agreements with the European Union or have ratified the Government Procurement Agreement (GPA) under the auspices of the World Trade Organization (WTO), as long as they satisfy the conditions and participation requirements as set in the Tender Document of Restricted Procedure - First Phase - Submission of Interest Expression.
The entities entitled to participate in the tender, according to the above, shall undertake the obligation for:
(1) the construction of the Project ,
(2) the elaboration of the design studies of the project, that shall be submitted with the offer at the second phase of the tender, and the elaboration of the design studies that shall be made upon the implementation of the Partnership Contract, and
(3) the facility management of the infrastructure of the Project,
to secure the participation in the Special Purpose Societe Anonyme or their collaboration with appropriate physical or legal entities, independently or in consortium or joint venture, as follows:

(1) For the construction of the Project :
With independent construction companies:
(a) Registered in the Greek Register of Construction Companies (M.E.EP.), which is kept at the General Secretariat for Public Works in the Ministry of Environment, Planning and Public Works and is mentioned in the Appendix IX A of P.D. 60/2007.
(b) Or that come from Member State of the European Union or the European Economic Area (EEC) or from states that have ratified the Government Procurement Agreement (GPA) under the auspices of the World Trade Organization (WTO), in which official lists of certified construction companies exist, according to the Appendix IX A of P.D. 60/2007, as long as they are registered in them.
(c) Or that come from States as stated in (b) above, in which official lists of certified construction companies do not exist, as long as they are registered in Professional / Commercial Chambers of their countries.
(d) With joint ventures formed by companies described above under (a), (b), (c) in any possible combination. Each member of the joint venture must participate in it with a minimum 25% participation percentage. Each construction company may participate in only one joint venture.

(2) For the elaboration of the design studies, that shall be submitted with the offer, and the elaboration of the design studies that shall be made upon the implementation of the Partnership Contract:
With physical or legal entities, independently or in consortium or joint venture, which has been formed or shall be formed, as long as they or their members (in the case of consortia or joint ventures):
(a) Are registered in the Greek Register for Designers, which are mentioned in the Appendix IX C of P.D. 60/2007 and, specifically have the following Designer Certificate:
i)  E Class in category 06 "Architectural Design of Buildings"
ii)  E Class in category 08 "Static Design"
iii)  E Class in category 09 "Mechanical/ Electrological Design", or
(b) come from Member State of the European Union or the European Economic Area (EEC) or from States that have ratified the Government Procurement Agreement (GPA) under the auspices of the World Trade Organization (WTO), that keep similar records with those mentioned under (a) and are registered in classes and design categories, corresponding to the ones mentioned under (a) above, or
(c) come from States as stated in (b) above, in which formal records of the previous paragraphs do not exist and are registered in Professional / Commercial Records of their countries and possess general experience corresponding to that, which is derived from the Greek Designer Records, and more specifically staff with experience in the following design categories:
i) for category 06 "Architectural Design of Buildings" at least three (3) employees [two with experience of at least twelve (12) years and one with experience of at least eight (8) years]
ii) for category 08 "Static Design" at least three (3) employees [two with experience of at least twelve (12) years and one with experience of at least eight (8) years]
iii) for category 09 "Mechanical, Electrological and Electronic Design" at least three (3) employees [two with experience of at least twelve (12) years and one with experience of at least eight (8) years].

(3) For the facility management of the infrastructure of the Project:
(a) With physical or legal entities, independently or in consortium or joint venture, which has been formed or shall be formed, which have as a purpose, among others, the maintenance, operation and management of works.
(b) In the case of consortium or joint venture between the entities described under (a) above, each member must participate in it with a minimum 33.3% participation percentage. Each entity may participate in only one joint venture.
The Candidates and the above mentioned collaborating entities must satisfy minimum financial and technical ability levels, as set in the article 10 of the Tender Document of Restricted Procedure - First Phase - Submission of Interest Expression.

PART IV : PROCEDURE

13. Limitations as to the number of entities to be invited to submit tenders.
Α) Anticipated number of candidates .
Five (5).
Β) Objective criteria to be used to chose that number of candidates.
According to article 16 of the Tender Document of Restricted Procedure - First Phase - Submission of Interest Expression.

14. Contract award criterion.
The most economically advantageous offer, pursuant to art. 10 par. 1 of L. 3389/2005 and art. 51 par. 1a of P.D. 60/2007, according to the criteria that will be described in the invitation to submit tenders (Second Phase Tender Documents).

15. Deadline for the receipt of applications for files or for the access to files.
14.02.2008, day Thursday and time 15:00.

17. Cost for the provision of the documents and payment terms.
Every party concerned can receive the abovementioned documents paying the amount of 150 euros. A translated version in English is also provided, at the cost of 300 euros.
