''INSTALLATION AND OPERATION OF SECURITY SYSTEMS IN 12 GREEK PORTS IN ORDER TO COMPLY WITH THE INTERNATIONAL AND EUROPEAN SAFETY REGULATIONS''

Service contracts, category and description of service: The tender concerns the assignment of a service contract under the title ''Advisory Services in view of the implementation of the PPP project for the Installation and Operation of Security Systems in 12 Greek Ports in order to comply with the International and European Safety Regulations ''.
The Ministry of Mercantile Marine (''MMM'')/ General Secretariat for Ports and Ports? Policy has planned to include a part of the implementation of its program regarding the installation of security systems in the Greek ports under the provisions of the PPP Law 3389/2005. The Interministerial PPP Committee has approved the inclusion of the Installation and Operation of Security Systems in 12 Greek Ports (''The Project'') under the provisions of Law 3389/2005 on 01.03.2007. The Private Partner (''PP'') that will be selected to implement the Project will undertake the design, financing, installation and operation of the security systems the construction of any infrastructure needed to support the systems and the provision of any relevant security services in 12 Greek ports and more specifically to the ports of (a) Piraeus, (b) Thessaloniki, (c) Patra, (d) Heraklion, (e) Volos, (f) Kavala, (g) Igoumenitsa, (h) Corfu, (i) Elefssina, (j) Lavrion, (k) Rafina and (l) Alexandroupoli for 10 years with an indicative budget of 342,000,000 euros in today's prices. The Greek State will use the security systems that will be installed during the partnership period and will pay back the PP, once the project is operational, through periodic Availability Payments the amount of which will be directly linked with the performance of the PP and the security systems that will have to fully comply with the international standards, as described in the International, European and National regulations.
The contracting authority, on behalf of the MMM wants to select Advisors that will help it during the process of planning and preparing the proposed partnership and selecting the PP. The provision of advisory services shall include:
- the finalisation of the business plan, the selection of the best type of partnership and the determination of its main parameters, the optimal risk allocation and the planning of a value for money process for the Greek State
- the provision of advisory services for the drafting of the tender and other relative documents for the selection of the PP as well as the provision of other services up to the signing of the contract
- the drafting of technical, operational and maintenance output specifications (systems' operation and insurance) as well as the specifications for the provision of guarding services
- the identification of the terms and conditions of the contract documents, the provision of advisory services and the participation in negotiations with the interested PPs as well as the provision of any clarifications to the PPs
- the transfer of expertise and know-how to the MMM related to all above mentioned subjects as well as with the monitoring process of the partnership object
- in case required by the Contracting Authority, the support of the MMM during the stage of the implementation of the project and in determining the monitoring processes of the project. This services include: the identification of the project's monitoring processes and the way in which all involved members will be informed, the drafting of technical reports for the systems' performance, the calculation of the amount that will be deducted from the Availability Payment in case of performance shortfalls, the completion of monitoring reports, the adoption of mechanisms for controlling the revenues flow from the fees that will be collected and anything else that will be requested.
The Advisor shall undertake the provision of technical, financial and legal services (Category 6 and 11 Annex IIA, 21 and 23 Annex IB). The budget of the contract amounts maximum to 1.500.000 euros, VAT excluded. The right for awarding new similar services is contemplated according to art. 31 E.U. DIR. 2004/18.

Any physical and legal person is entitled to participate to the tender procedure, independently or in consortium or in joint venture, if themselves or their members provide -as their main activity - services falling under the categories mentioned above and are officially certified by the appropriate authority in their country of origin, according to the relative EU regulations, as Certified Security Organisations (A.O.A.) or have proven experience in Ports' Security Assessment (AAΛΕ) and Plans for Port Security (ΣΑΛΕ).
These persons should have experience in ports' security issues and more specifically:
1. Knowledge in the operation of ports, including design and construction of ports? know-how
2. Knowledge and experience in operating and managing ports' security systems
3. Capabilities in identifying and evaluating dangers and threats
4. Experience in issues related to ports' security
5. Capabilities related to taking all necessary measures for protecting sensitive security information material
6. Knowledge of the relevant national and international legislation and the international standards for ports? security
7. Knowledge regarding the threats and dangers as well as the techniques used to by-pass the security measures
8. Capabilities in locating guns, dangerous substances and devices and
9. Capabilities in identifying behaviours of persons that might potentially pose danger to the security of the port
The above persons will be legally bound not to disclose any confidential information that they might receive during the duration of the tender. The Legal Advisors should be registered in the local Bar Association. The participants should fulfil the minimum levels of financial efficiency as following (article 11.5 of the Invitation to Tender): (a) average turn over of the member of the joint venture that fulfils the prerequisite of article 11.2 of the Invitation to Tender, during the three last economic years, over euros 8.000.000, which will be proved by published balance sheets or by relevant affirmations, whereby at least 5% will relate to similar projects with the object of the partnership, (b) average turn over of the Financial Advisors of the joint venture in financial consultancy services (corporate finance, project finance etc) during the three (3) last economic years, over euros 5.000.000, which will be proved by published balance sheets or by relevant affirmations and (c) average total turn over of the Tenderer (or the consortium or the joint venture) during the three last economic years, over euros 10.000.000, which will be proved by published balance sheets or by relevant affirmations. The legal persons are obliged to state the employee's names and qualifications, which will be responsible for the fulfilment of the services provided and which will form the Work Team.

6. The time limit for completion of services or duration of the services contract is twelve (12) months.

11. In the case of open procedures:
(a) The persons authorised to be present at the opening of tenders are the legal representatives invited.

12. Where appropriate any deposit and guarantees required: Bank Guarantee of 75.000,00 euros for participating to the tender, good performance bank guarantee amounting to 10% of the project's budget.

13. Main terms concerning financing and payment and/or references to the texts in which these are contained: The financing shall occur through Π.Δ.Ε. The fee is based on the financial offer of the tenderer and does not include VAT.

14. The legal form to be taken by the grouping of economic operators to whom the contract is to be awarded is joint venture. All contracting parties shall be jointly and severally liable towards the Contracting Authority.

15. Selection criteria regarding the personal situation of economic operators that may lead to their exclusion and required information proving that they do not fall within the cases justifying exclusion. Selection criteria and information concerning the economic operators' personal situation, information and any necessary formalities for assessment of the minimum economic and technical standards required of the economic operator. Minimum level(s) of standards possibly required: Art. 11, 12, 14 and 15 of the Invitation to Tender.

16. Time frame during which the tenderer must maintain its tender is eight (8) months.

17. The criteria to be used for award of the contract: Most economically advantageous tender, according to the criteria mentioned in the tender documents (Article 18).
